These Terms and Conditions ("Terms") govern your access to and use of the CentralHaat platform and related services (the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Service Description

CentralHaat is a hosted e-commerce platform that enables merchants to create, manage, and operate online stores. The Service includes:

  • Website hosting and store management tools
  • Order management and fulfillment integrations
  • Payment gateway integrations
  • Marketing, analytics, and AI-powered tools
  • Point of Sale (POS) functionality
  • Custom domain and subdomain provisioning

2. Account Registration

  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the confidentiality of your account credentials
  • You must notify us immediately of any unauthorized access to your account
  • You may operate multiple stores from a single account
  • We reserve the right to suspend or terminate accounts that violate these Terms

3. Pricing and Payment

3.1 Subscription Plans

  • All prices are quoted in Bangladeshi Taka (BDT)
  • Subscription fees are payable in advance for the selected billing period
  • A free plan is available with a subdomain and limited order capacity

3.2 Order Limits and Overages

  • Each plan includes a monthly order allowance
  • Orders exceeding the plan limit are charged at BDT 4 per additional order
  • Your store will not be suspended for exceeding order limits

3.3 Point of Sale (POS)

  • POS orders are charged at BDT 1 per order, in addition to any applicable plan fees

3.4 AI Studio Usage

AI Studio features (content generation, image editing, etc.) are included in the Pro plan at no additional cost for standard usage. For other plans, AI Studio access is available on a pay-per-use basis. Excessive or automated usage that significantly exceeds normal merchant activity may require a custom pricing arrangement. We will contact you before applying any additional charges.

3.5 Refunds

Subscription fees are non-refundable for the period already consumed. If you cancel mid-cycle, you retain access until the end of the current billing period.

3.6 Price Changes

We may modify pricing with at least 30 days' prior notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Merchant Responsibilities

As a merchant using the Service, you agree to:

  • Sell only lawful products and services in compliance with the laws of Bangladesh
  • Provide accurate product descriptions, pricing, and imagery
  • Fulfill orders in a timely manner and handle customer inquiries professionally
  • Comply with all applicable tax, consumer protection, and e-commerce regulations
  • Respect intellectual property rights of third parties
  • Maintain appropriate return and refund policies for your customers

5. Prohibited Activities

The following activities are strictly prohibited:

  • Selling counterfeit, fraudulent, or misrepresented products
  • Selling narcotics, weapons, or any goods prohibited under Bangladeshi law
  • Engaging in spam, phishing, or deceptive marketing practices
  • Attempting to compromise platform security or infrastructure
  • Collecting other users' data without authorization
  • Using the Service for money laundering or any illegal financial activity
  • Reselling or sublicensing access to the Service without written consent

6. Intellectual Property

6.1 Our Property

The Service, including its design, code, features, and branding, is the intellectual property of CentralHaat. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

6.2 Your Content

You retain ownership of the content you upload to the Service (product images, descriptions, etc.). By uploading content, you grant us a non-exclusive license to host, display, and distribute it as necessary to operate the Service.

7. Suspension and Termination

  • We may suspend or terminate your account for violation of these Terms, with or without prior notice depending on severity
  • You may cancel your account at any time through the dashboard or by contacting support
  • Upon termination, your data will be retained for 30 days before permanent deletion
  • We may provide a data export upon request prior to deletion

8. Third-Party Services

The Service integrates with third-party providers for delivery, payments, and analytics. Your use of these integrations is subject to the respective third party's terms and policies. CentralHaat is not responsible for the performance, availability, or actions of third-party services.

9. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law:

  • We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for lost profits, data loss, or business interruption
  • Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim

10. Indemnification

You agree to indemnify and hold harmless CentralHaat, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the People's Republic of Bangladesh. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or dashboard notification at least 15 days before taking effect. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
